These Terms & Conditions apply to the use of this website and to enquiries made to Gardenia Technical Services & Supplies Company, hereinafter referred to as "Gardenia," "we," "our," or "us."

Gardenia provides technical, operational, supply, manpower, consulting, advertising, and technology-related support across different project requirements.

The information on this website is provided for general understanding only. It does not create a confirmed service engagement, commercial commitment, partnership, employment relationship, or binding project obligation unless separately agreed in writing.

The exact scope of work, pricing, timelines, responsibilities, exclusions, and deliverables will be confirmed separately through a quotation, proposal, work order, purchase order, agreement, or written communication.

3. Enquiries and Communication

Submitting an enquiry through this website does not guarantee acceptance of work, availability of service, pricing confirmation, or project commencement.

  • Gardenia may contact you by phone, email, WhatsApp, or other communication channels.
  • You are responsible for ensuring that all information provided is accurate and complete.

4. Quotations and Proposals

Any quotation, estimate, or proposal is based on the information available at the time of preparation.

Prices, timelines, material availability, manpower availability, logistics, taxes, duties, approvals, and third-party costs may change depending on project conditions.

Unless specifically stated, quotations exclude additional works, authority fees, travel, accommodation, special equipment, revisions, taxes, duties, and unforeseen site requirements.

5. Payments

  • Payment terms shall be as agreed in the quotation, proposal, invoice, or work order.
  • Advance payment may be required before work or supply begins.
  • Delayed payments may result in suspension or cancellation of services.

6. Client Responsibilities

Clients shall provide all required approvals, drawings, specifications, site information, documents, and timely responses necessary for project execution.

Gardenia shall not be responsible for delays or additional costs caused by delayed approvals, incorrect information, third-party delays, authority requirements, or client-requested changes.

7. Third Parties, Consultants and Suppliers

Gardenia may coordinate with consultants, suppliers, contractors, manpower providers, logistics providers, technology partners, advertising partners, and other third parties where required.

Such third parties remain independent unless otherwise agreed in writing.

8. Supplies and Product Sourcing

Supply-related services may include technical materials, Korean products, food products, beauty products, medical products, automotive products, and other trading requirements.

Product availability, pricing, lead times, warranties, logistics, and approvals depend upon suppliers, manufacturers, and applicable regulations.

9. Manpower Services

Manpower support depends on project requirements, legal compliance, availability, and agreed scope.

Clients must provide a safe working environment, site access, and necessary permissions.

10. Advertising and Technology Services

Scope, revisions, ownership, hosting, software, subscriptions, maintenance, and platform access shall be agreed separately.

Gardenia is not responsible for platform policy changes, hosting failures, third-party software issues, account restrictions, or external service interruptions.

11. Changes and Additional Work

Work outside the agreed scope will be treated as additional work and may incur additional charges.

12. Intellectual Property

Designs, documents, proposals, technical materials, website content, branding, layouts, and other work created by Gardenia remain Gardenia's property until full payment has been received unless otherwise agreed.

Gardenia may use non-confidential project references for portfolio and marketing purposes unless otherwise requested in writing.

13. Limitation of Liability

Gardenia will make reasonable efforts to deliver services professionally. However, Gardenia shall not be liable for indirect losses, business interruption, third-party failures, authority delays, force majeure events, or inaccurate information supplied by the client.

Gardenia's total liability shall not exceed the amount paid for the specific service giving rise to the claim, unless otherwise required by law.

14. Website Information

Website content is provided for general information only. While every effort is made to keep information accurate, Gardenia does not guarantee completeness or error-free content.

15. Privacy

Personal information submitted through this website will be handled in accordance with Gardenia's Privacy Policy.

16. Force Majeure

Gardenia shall not be responsible for delays caused by natural disasters, government restrictions, transport delays, labour shortages, import delays, pandemics, technical failures, or other unforeseen events.

17. Termination or Suspension

Gardenia may suspend or terminate services where payments are delayed, required information is not provided, legal concerns arise, or agreed terms are not followed.

18. Governing Law and Disputes

These Terms & Conditions shall be governed by the laws of India. Any disputes shall first be resolved through mutual discussion. Failing resolution, disputes shall be subject to the jurisdiction of competent courts in Mangalore, Karnataka, India.

19. Updates to Terms

Gardenia may update these Terms & Conditions from time to time. The latest version will always be available on this website.
